Final Reminders About 2016 Annual Meeting
The 2016 Doyon, Limited annual meeting of shareholders will take place Friday, March 18, 2016 at the Westmark Fairbanks Hotel at 813 Noble St. in Fairbanks, Alaska. The theme of the 2016 annual meeting will be “Voices of Our Future.” The doors will open at 8 a.m. and the meeting will begin at 9 a.m.
Annual Meeting Webcast
For those who cannot attend the annual meeting in person, a live webcast link will be made accessible on the day of the meeting here. The password to access the live webcast will be given to shareholders only, please email firstname.lastname@example.org or call 907-459-2000 to obtain the password. Shareholders in Anchorage may view the webcast of the annual meeting from the Doyon boardroom at 11500 C St.
Please be aware that this broadcast is specifically for Doyon shareholders due to privacy issues during the question and answer forums. The webcast also requires a minimum of 512 kilobits per second to run without error. Doyon recommends that shareholders who live in rural areas of Alaska coordinate with others to view the webcast from a communal location.

At the meeting, shareholders will elect four directors to serve three-year terms on the Doyon board. Current directors whose terms expire at the March 2016 annual meeting include Shirley Cleaver, Lee DeWilde, Sonta Hamilton Roach and Miranda Wright.

Rural Representation and Board Seats
Currently, rural directors must hold 30 percent of the 13 board positions or a minimum of four seats. Based on the current and expected number of rural shareholders and because the continuing board members hold the requisite number of four rural seats, none of the four candidates elected at the annual meeting are required to be rural shareholders.

Annual Report/Proxy Mailings
On February 26, Doyon sent a reminder letter to shareholders who did not return their proxy by the February 19 early bird deadline. Shareholders must vote their proxy before the deadline of Tuesday, March 15 at 5 p.m. Alaska Daylight Time OR register to vote at the annual meeting to have their vote count and to be eligible for the annual meeting prizes. Shareholders who have already voted, but who received a reminder to vote, are encouraged to contact Cook & Haugeberg at 456-7708 (in Fairbanks) or 1-877-456-7708 (toll free) to determine if the proxy was received.
Voting Doyon shareholders were mailed a packet containing the 2015 annual report, proxy statement, proxy card, candidate matrix and comment card on January 26. Shareholders who have not received their packets should contact the shareholder records department at 459-2040 (in Fairbanks), 1-888-478-4755 (toll-free) or email@example.com.
Vote Online with eProxy
With time quickly running out to return proxies before the March 15 deadline, shareholders are encouraged to vote online via eProxy. Voting online is quick and simple. The system will be available until Tuesday, March 15 at 5 p.m. Alaska Daylight Time. The eProxy website is accessible at https://eproxy.doyon.com. Shareholders will need the following in order to vote online:
- Seven-digit personal identification number (PIN). The PIN is located on the upper left-hand corner of the proxy card. Please note that the seven-digit PIN is independently generated by the tabulating firm of Cook & Haugeberg. Doyon does not have access to this information. Shareholders with questions about their PIN should contact Cook & Haugeberg at 456-7708 (in Fairbanks) or 1-877-456-7708 (toll-free).
- Last four digits of their Social Security number.
Instructions for the eProxy were detailed in the proxy statement, which was included in the January 26 mailing. Shareholders may also view a short video on how to vote using eProxy.
To assist shareholders needing online access, computers will be available during business hours at the Doyon, Limited offices in Fairbanks and Anchorage through March 15.
Annual Meeting Prizes
Shareholders who submit their proxies or eProxies by the appropriate deadline will be eligible for annual meeting prizes. New this year, one lucky shareholder will win 25,000 Alaska Airlines miles, Miles must be redeemed through Doyon and cannot be transferred. Cook & Haugeberg must receive shareholders’ paper proxy or eProxy on or before Tuesday, March 15 at 5 p.m. Alaska Daylight Time OR shareholders must register to vote at the annual meeting. A drawing will be held Friday, March 18 at the annual meeting. Shareholders need not be present to win.

Early Bird Winners Announced
Shareholders who submitted their paper proxies or eProxies on or before the early bird deadline of February 19 at 5 p.m. Alaska Standard Time were eligible for early bird prizes, and are also eligible to win annual meeting prizes.

As of February 29, the quorum stands at 50.13 percent, with a total of 2,087 eProxy submissions. Comparatively, the quorum stood at 47 percent, with 1,793 eProxies received, ten days after the early bird deadline last year.
In order to hold an annual meeting, Doyon must have a quorum of 50 percent plus one vote. Please continue encouraging family and friends to vote before the proxy deadline. Every vote counts.
Voting registration is required. Registration options include:
- Pre-registration on Thursday, March 17 from 10 a.m. – 3 p.m. at the Doyon, Limited Chiefs Court, 1 Doyon Place, Fairbanks
- Day-of-meeting registration on Friday, March 18 from 8 – 11 a.m. at the Westmark Fairbanks Hotel
Shareholders may, in accordance with the rules of election, review submitted proxies and file challenges with the inspector of elections on Thursday, March 17 from 10 a.m. – 3 p.m. in the Doyon, Limited Chiefs Court located at 1 Doyon Place in Fairbanks.
This year, the annual meeting photographer will be available to take photos of shareholders with dog musher Josh Cadzow. The photo session will take place during the lunch period, between 12 and 1 p.m., in the boardroom of the Westmark Fairbanks Hotel. The photos will be available after the meeting by email, once processed. Participants must sign a Doyon photo release form.
Kids’ voting was established to introduce young shareholders to the Doyon election process; it is open to Doyon shareholders ages 5 to 17. This year, kids’ voting will take place at the annual meeting from 8 – 11 a.m. An announcement of the results will be made at the same time of the regular election results. The location of kids’ voting will be posted at the annual meeting.
